By accessing or using DowntimeIQ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

DowntimeIQ is a fleet and equipment management SaaS platform that provides tools for tracking equipment downtime, scheduling maintenance, managing team members, and analyzing operational costs. The Service is provided on a subscription basis with multiple plan tiers as described on our pricing page.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these terms. You must provide accurate and complete information when creating your account and keep this information up to date.

4. Subscriptions and Billing

The Service is billed on a monthly subscription basis. You will be charged the applicable subscription fee at the beginning of each billing period. Subscriptions automatically renew unless cancelled before the renewal date. We reserve the right to change subscription fees with 30 days notice. Refunds are handled on a case-by-case basis — contact support if you have billing concerns. All payments are processed securely through Stripe.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. You may not attempt to gain unauthorized access to any part of the Service, interfere with other users, or use automated means to access the Service without our permission. You are responsible for all content and data you enter into the Service and must ensure it does not violate any applicable laws or third-party rights.

6. Data and Privacy

You retain ownership of all data you enter into the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you. We will not sell your data to third parties. Our data practices are described in detail in our Privacy Policy. You are responsible for maintaining backups of your important data.

7. Team Members and Enterprise Codes

If you are a plan owner, you are responsible for all activity by team members you add to your account. Enterprise codes must not be shared publicly or with unauthorized parties. You are responsible for revoking access for team members who should no longer have access to your account. We are not responsible for unauthorized use of enterprise codes that you have shared.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DowntimeIQ. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You may not copy, modify, distribute, sell, or lease any part of our Service without explicit permission.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without any warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any financial decisions made based on data or calculations provided by the Service. Revenue loss calculations and ROI estimates are for informational purposes only and should not be relied upon as financial advice.

10. Limitation of Liability

To the maximum extent permitted by law, DowntimeIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or relating to your use of the Service. Our total liability to you for any claims arising from these terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may terminate or suspend your account at any time for violation of these terms. Upon termination, your right to use the Service will immediately cease. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new terms. If you do not agree to the new terms, you must stop using the Service.
